Terms of Service
1. Agreement
By installing and using the CheckoutGuard Bot Filter Shopify application ("the App"), you ("Merchant") agree to these Terms of Service ("Terms"). These Terms are a binding agreement between Merchant and Zoe Capital LLC. If you do not agree with these Terms, do not install or use the App.
2. The service
The App scores abandoned-checkout webhook payloads from Shopify and provides Merchant with a dashboard, CSV export of flagged emails, and optional automated tagging of flagged customer profiles. The App is intended to help Merchant exclude bot-generated emails from their email service provider's recovery flows.
The App is not a guarantee of bot detection accuracy. False positives and false negatives are inherent to any scoring system. Merchant is responsible for reviewing flagged emails before suppressing them in their email service provider.
3. Subscription and billing
The App offers a free Pilot tier and paid tiers (Starter, Growth, Scale) billed monthly or annually through the Shopify Billing API. Charges appear on Merchant's Shopify invoice. Paid tiers include a 14-day free trial; cancellation during the trial period incurs no charge.
Each tier has a monthly cap on scored checkouts. Checkouts received after the cap is reached are recorded but not scored, and Merchant will see an in-app notice prompting an upgrade. Caps reset at the start of each Shopify billing cycle.
Tier pricing and cap limits are subject to change with at least 30 days' notice via the App dashboard or email.
4. Refunds
Subscription fees are non-refundable except where required by law. Cancellation takes effect at the end of the current billing cycle; Merchant retains access to paid features until that date.
5. Acceptable use
Merchant agrees not to:
- Use the App to process data for any store other than the one the App is installed on
- Reverse-engineer, decompile, or attempt to extract the source code of the App
- Use the App to violate any law or third-party right
- Resell or sublicense access to the App
- Submit fabricated webhook traffic intended to manipulate scoring or billing
6. Intellectual property
The App, its scoring algorithms, dashboard interface, and underlying code are the intellectual property of Zoe Capital LLC. Merchant receives a non-exclusive, non-transferable license to use the App while their subscription is in good standing.
7. Data and privacy
Use of the App is governed by our Privacy Policy, which is incorporated into these Terms by reference. Merchant is the data controller of customer data passed to the App; Zoe Capital LLC is the processor.
8. Service availability
We aim for high availability but make no guarantee of uptime. Scheduled maintenance and unscheduled outages may occur. Webhook payloads received during outages are subject to Shopify's own retry behavior; the App is idempotent on receipt.
9. Disclaimers
THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. Zoe Capital LLC DOES NOT WARRANT THAT THE APP WILL BE ERROR-FREE OR THAT ITS SCORING WILL BE ACCURATE FOR ANY PARTICULAR MERCHANT'S TRAFFIC.
10. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, Zoe Capital LLC'S AGGREGATE LIABILITY FOR ANY CLAIM ARISING FROM OR RELATED TO THE APP IS LIMITED TO THE AMOUNT MERCHANT PAID FOR THE APP IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM. Zoe Capital LLC IS NOT LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST REVENUE, OR LOST DATA.
11. Termination
Merchant may uninstall the App from their Shopify admin at any time. On uninstall, paid subscriptions are cancelled at the end of the current cycle. Zoe Capital LLC may suspend or terminate access for material breach of these Terms with reasonable notice.
12. Governing law
These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict-of-laws principles. Disputes arising from these Terms will be resolved in the state or federal courts located in Delaware.
13. Changes to these Terms
We may update these Terms from time to time. Material changes will be announced via the App dashboard at least 30 days before taking effect. Continued use after the effective date constitutes acceptance.
